Multiconsult completed share buyback, share loan agreement, and Employee share purchase programme

Share buyback
On 4 December 2019, Multiconsult ASA (“Multiconsult”) completed its share buyback programme. This year’s share buyback programme was executed through two reverse Dutch auctions, as announced on 28 November 2019 and 2 December 2019 respectively. In the first auction, Multiconsult acquired 157 184 of its own shares at an average price of NOK 64.00 per share. In the second auction, Multiconsult acquired 29 275 of its own shares at an average price of NOK 64.00 per share. In total, Multiconsult acquired 186 459 of its own shares at an average price of NOK 64.00 per share.

The shares purchased under this programme are for Multiconsult’s 2019 employee share purchase programme as approved by the ordinary general meeting on 25 April 2019.

Share loan agreement
In a subsequent agreement, Multiconsult entered into a share loan agreement with its largest shareholder Stiftelsen Multiconsult. The deal was entered into on 4 December 2019 for a loan of 100 000 Multiconsult shares in connection with the implementation of the 2019 employee share purchase programme. Multiconsult will deliver the full amount of shares back to Stiftelsen Multiconsult no later than six months from the date of agreement. In consideration for the share loan, Multiconsult shall pay to Stiftelsen Multiconsult an amount corresponding to 2% p.a. based on 100 000 shares at a value of NOK 64 per share.

Stiftelsen Multiconsult considers Multiconsult’s employee share purchase programme to be an important incentive for the employees and hence of value for the company. As the company did not acquire a sufficient number of shares in the market to meet the demand from its employees, Stiftelsen Multiconsult has agreed to assist the company in meeting this demand.

Completed 2019 employee share purchase programme
In total Multiconsult sold 286 443 shares to its employees and after the sale Multiconsult holds 16 of its own shares. The transactions to the employees were based on a price of NOK 49.91 per share, which is a 20% discount of the volume-weighted average share price of NOK 62.39 per share traded on Oslo Børs in the period between 7 November 2019 – 13 November 2019.
